1. Acceptance of Terms
By accessing or using Gryphon Journal ("the Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and Gryphon Collaborative LLC, a Wyoming limited liability company ("Company," "we," "us," or "our").
2. Eligibility and Age Restriction
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are 13 years of age or older.
If you are between the ages of 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have inadvertently collected personal information from a child under 13, we will promptly delete it. If you believe a child under 13 has provided us with personal information, please contact us at GryphonJournal@gmail.com.
3. Description of Service
Gryphon Journal is a personal reflection and journaling tool that allows users to:
- Record daily guided journal entries
- Receive email copies of those entries
- Review their journaling history over time
The Service is provided on a freemium basis. Certain features are available at no cost, while others require a paid subscription as described in Section 6.
4. Your Account
You sign in using your Google account. You are responsible for maintaining the security of your Google account and for all activity that occurs under it. You agree to notify us immediately at GryphonJournal@gmail.com if you become aware of any unauthorized access to your account.
We are not responsible for any loss or damage arising from your failure to maintain the security of your Google account. We reserve the right to terminate accounts that violate these Terms.
5. Your Content and Data
Ownership
All journal entries and content you create belong to you. You retain full ownership of your content. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely to provide the Service to you.
Data Practices
- We do not sell, rent, or share your journal entries with third parties, except as required by law.
- We use third-party service providers to operate the Service, including Supabase (data storage) and Resend (email delivery). These providers process your data on our behalf and are bound by appropriate data protection agreements. Links to their privacy policies are available on their respective websites.
- The Service is not designed to store financial data, health records, protected health information (PHI), or other sensitive regulated information. Do not enter such data into your journal entries.
Deletion
You may request deletion of your account and data at any time by contacting us at GryphonJournal@gmail.com. We will process deletion requests within 30 days. Note that some data may be retained for a limited period as required by law or for legitimate business purposes such as fraud prevention.
6. Payments and Subscriptions
- Free tier features are available at no cost.
- Premium features require a paid subscription. Subscription fees are billed through Stripe, our third-party payment processor. By subscribing, you agree to Stripe's Terms of Service and authorize Stripe to charge your payment method on a recurring basis.
- Gryphon Journal does not store your payment card information. All payment data is handled directly by Stripe.
- Subscription fees are non-refundable except where required by applicable law (including consumer protection laws in your jurisdiction).
- To cancel your subscription, contact us at GryphonJournal@gmail.com. Your access to premium features will continue through the end of your current billing period. We are working to provide a self-service cancellation option in the app.
- We reserve the right to change pricing. We will provide at least 30 days' advance notice of any price increases via email or in-app notification. Continued use after the effective date of a price change constitutes acceptance of the new pricing.
7. Intellectual Property
The Service, including its design, software, features, content (excluding your journal entries), and trademarks, is owned by Gryphon Collaborative LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes.
You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Service without our prior written consent.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload, transmit, or distribute malicious code, viruses, or harmful software
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Use the Service in a way that could harm, disable, overburden, or impair it
- Scrape, harvest, or collect data from the Service by automated means
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
- Use the Service for any commercial purpose without our express written consent
We reserve the right to suspend or terminate your access to the Service at our sole discretion for violation of these acceptable use provisions or any other provision of these Terms.
9. No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR THAT YOUR DATA WILL NEVER BE LOST. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRYPHON COLLABORATIVE LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF — OR INABILITY TO USE — THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN DOLLARS ($10 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Gryphon Collaborative LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Service.
12. Dispute Resolution
Informal Resolution
Before filing any formal legal claim, you agree to first contact us at GryphonJournal@gmail.com and give us 30 days to attempt to resolve the dispute informally.
Binding Arbitration
If we cannot resolve a dispute informally within 30 days, you and Gryphon Collaborative LLC agree to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in Wyoming or, at your election, via remote hearing. The arbitrator's decision shall be final and binding.
Note: Arbitration means you waive your right to a jury trial and your right to participate in a class action.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GRYPHON COLLABORATIVE LLC.
Exceptions
Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section limits your ability to file a complaint with a consumer protection agency or regulatory authority.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Wyoming.
Notwithstanding the foregoing, if you are a resident of the European Union, United Kingdom, or another jurisdiction whose local laws provide consumer protection rights that cannot be contractually waived, those local protections continue to apply to you.
14. International Users
The Service is operated from the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with your local laws.
For users in the European Union or United Kingdom: By using the Service, you acknowledge that your personal data will be transferred to and processed in the United States. Please review our Privacy Policy for information about how we handle international data transfers and your rights under GDPR/UK GDPR.
15. Force Majeure
We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, third-party service provider failures, or cyberattacks.
16. Changes to These Terms
We may update these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide advance notice via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you must stop using the Service and may request deletion of your account.
17. Termination
We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, fraudulent activity, or extended inactivity.
You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections 5 (Your Content), 7 (Intellectual Property), 9–11 (Warranty, Liability, Indemnification), 12 (Dispute Resolution), and 13 (Governing Law) survive termination.
18. Severability and Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gryphon Collaborative LLC with respect to your use of the Service and supersede all prior agreements, understandings, or representations.
