1. Acceptance of Terms
By accessing or using Gryphon Journal ("the Service"), you agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.
These Terms constitute a legally binding agreement between you and Gryphon Collaborative LLC, a Wyoming limited liability company ("Company," "we," "us," or "our").
2. Eligibility and Age Restriction
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are 13 years of age or older.
If you are between the ages of 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have inadvertently collected personal information from a child under 13, we will promptly delete it.
3. Description of Service
Gryphon Journal is a personal reflection and journaling tool that allows users to:
- Record daily guided journal entries
- Receive email copies of those entries
- Review their journaling history over time
The Service is provided on a freemium basis. Certain features are available at no cost, while others require a paid subscription as described in Section 6.
4. Your Account
You sign in using your Google account. You are responsible for maintaining the security of your Google account and for all activity that occurs under it. You agree to notify us immediately at GryphonJournal@gmail.com if you become aware of any unauthorized access to your account.
We are not responsible for any loss or damage arising from your failure to maintain the security of your Google account. We reserve the right to terminate accounts that violate these Terms.
5. Your Content and Data
Ownership
All journal entries and content you create belong to you. You retain full ownership of your content. By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your content solely to provide the Service to you.
Data Practices
- We do not sell, rent, or share your journal entries with third parties, except as required by law.
- We use third-party service providers to operate the Service, including Supabase (data storage) and Resend (email delivery). These providers process your data on our behalf and are bound by appropriate data protection agreements.
- The Service is not designed to store financial data, health records, protected health information (PHI), or other sensitive regulated information. Do not enter such data into your journal entries.
Deletion
You may request deletion of your account and data at any time by contacting us at GryphonJournal@gmail.com. We will process deletion requests within 30 days.
6. Payments and Subscriptions
- Free tier features are available at no cost.
- Premium features require a paid subscription billed through Stripe. By subscribing, you agree to Stripe's Terms of Service.
- Gryphon Journal does not store your payment card information.
- Subscription fees are non-refundable except where required by applicable law.
- To cancel, contact us at GryphonJournal@gmail.com. Access continues through the end of your billing period.
- We will provide at least 30 days' advance notice of any price increases.
7. Intellectual Property
The Service, including its design, software, features, and trademarks, is owned by Gryphon Collaborative LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes.
You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Service without our prior written consent.
8. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload or distribute malicious code or harmful software
- Attempt to gain unauthorized access to any part of the Service
- Use the Service in a way that could harm, disable, or impair it
- Scrape or harvest data from the Service by automated means
- Impersonate any person or entity
- Use the Service for any commercial purpose without our consent
9. No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRYPHON COLLABORATIVE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE PRECEDING 12 MONTHS, OR (B) TEN DOLLARS ($10 USD).
11. Indemnification
You agree to indemnify and hold harmless Gryphon Collaborative LLC from any claims, liabilities, damages, and expenses arising out of your use of the Service, your violation of these Terms, or any content you submit.
12. Dispute Resolution
Informal Resolution
Before filing any formal legal claim, you agree to contact us at GryphonJournal@gmail.com and give us 30 days to resolve the dispute informally.
Binding Arbitration
Unresolved disputes shall be settled through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in Wyoming or via remote hearing. The arbitrator's decision is final and binding.
Note: Arbitration means you waive your right to a jury trial and your right to participate in a class action.
Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT AGAINST GRYPHON COLLABORATIVE LLC.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States. Legal proceedings not subject to arbitration shall be brought in Wyoming courts.
14. International Users
The Service is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with your local laws. EU/UK users: your personal data will be transferred to and processed in the United States.
15. Force Majeure
We will not be liable for any failure or delay resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, or internet outages.
16. Changes to These Terms
We may update these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email or in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.
17. Termination
We reserve the right to suspend or terminate your access at any time, with or without cause. You may stop using the Service at any time. Sections 5, 7, 9–12, and 13 survive termination.
18. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. These Terms and our Privacy Policy constitute the entire agreement between you and Gryphon Collaborative LLC.
